This article discusses the representation of a limited liability company in organization as a victim in criminal proceedings. In principle, representation of a legal person or an inchoate legal person in proceedings does not raise any doubts in legal scholarship and case law when a management board or another body authorized to represent it has been appointed. In practice the problem arises mainly when such a body has not been established yet, which may be the case, among others, when a limited liability company is in organization, and it is necessary to take action in the interest of the victim, e.g. to appoint a representative or to submit a request for prosecution. The article analyses the provi-sions applicable in such cases and proposes a solution that may not be perfect, but will certainly contribute to systematizing information about the entities and the roles they play when representing a given entity, e.g. a limited liability company, as a victim in criminal proceedings.
